Korea will prohibit large listed companies from excluding cumulative voting through their corporate charters starting September 10. Yonhap reported Sunday that the requirement covers listed companies with total assets of at least ₩2 trillion.
Qualifying shareholders can request cumulative voting when companies elect at least two directors at the same meeting. Shareholders receive votes for each seat being filled and may concentrate those votes on a particular candidate.
Corporate charters had previously been able to exclude the voting system. Samsung Electronics Co., Ltd. (005930): The company's market capitalisation was ₩1,493.7 trillion at Friday's close.
