SK Inc. Reports Subsidiary SK Telecom's Plan to Hand 1,061 Treasury Shares to Independent Directors

SK Inc. (KRX:034730) filed, as required for a major subsidiary's material event, SK Telecom's board decision to distribute 1,061 treasury common shares to its five independent directors as part of a value-linked compensation program. At the pre-decision close of ₩99,600, that is roughly ₩105.7 million total — 0.0005% of SK Telecom's 214,790,053 shares outstanding, an immaterial dilution the filing itself flags. The shares move from SK Telecom's own treasury account directly into each director's brokerage account between August 28 and September 30, not through the open market; SK Securities is named only as the entrusted intermediary for the book-entry transfer. SK Telecom is separately covered on this site under ticker 017670.

SK Inc. Hands 1,487 Treasury Shares to Officers, Worth ₩823.8 Million

SK Inc. (KRX:034730) disposed of 1,487 common treasury shares on August 26 at that day's closing price of ₩554,000, for a total of ₩823.8 million, to officers including a retired executive, via SK Securities. After the transfer, SK Inc. still held 7,000,583 common treasury shares — 9.6% of shares outstanding, carried at roughly ₩1,948.8 billion (about $1.4bn) — making this disposal a rounding error against the pile it holds. The filing states that stake includes treasury shares that arose from SK Inc.'s past merger with (formerly) SK Materials, on top of shares acquired via market buybacks. This filing already appeared as a news item on this site on 2026-08-30, covering the board's decision; this is the follow-up filing confirming the disposal actually happened at the stated terms.

SK Inc Pays Directors In Stock, And Shows It Holds A Quarter Of Itself

SK Inc will transfer 1,487 of its own common shares between August 26 and September 25 — 191 to five independent directors under a Stock Grant programme, and 1,296 to one retired executive under a long-term incentive scheme — worth ₩816.4m at the ₩549,000 close on August 24. The shares move from the company's treasury account into the recipients' brokerage accounts, and the retired executive's figure is net of tax. Dilution is 0.002% of shares outstanding, and the Stock Grant shares cannot be sold, transferred or pledged for three years. The count differs from the plan disclosed after the July 31 board meeting because the reference price moved. All of which is a rounding error next to what the same filing discloses in passing: SK Inc held 17,960,815 common treasury shares beforehand, 7,000,583 bought within distributable profits and 10,960,232 under "other acquisition", which the filing puts at 9.6% and 15% of the company.

034730 Company Profile

SK Inc. is the holding company at the top of South Korea's second-largest business group, and the entity through which the Chey family controls it. Its principal holdings are stakes in SK Innovation, the refiner and battery maker; SK Telecom, the mobile operator; SK Square, which in turn holds roughly a fifth of SK hynix; and SK E&S, the gas and power utility. It also consolidates SK Siltron, which makes silicon wafers for semiconductor manufacturers, and runs a direct investment arm that has taken positions in pharmaceuticals, hydrogen and materials. Because SK hynix sits two levels below it, SK Inc. is the most leveraged listed way to own the memory cycle in Korea, and also the most diluted. The group spent 2024 and 2025 restructuring after an aggressive investment period left several affiliates over-borrowed, merging SK E&S into SK Innovation and selling non-core assets. For a US reader there is no clean analogue; think of a listed vehicle whose value is the sum of stakes in operating companies it does not run, trading at a persistent discount to those stakes for reasons that are as much about Korean governance as about the assets.
