Samsung Biologics (207940) said Monday that its Swiss subsidiary, Samsung Peptide AG, published a tender offer document to acquire all shares of PolyPeptide Group AG at CHF 44.31 apiece, a deal worth about ₩2,706.2bn (~$1.46bn), according to a regulatory filing.
The offer covers all 33,016,411 shares outstanding excluding treasury stock and only completes if holders tender at least two-thirds of the fully diluted capital. PolyPeptide's largest shareholder, Draupnir Holding B.V., has committed its full 55.65% stake to the offer, the filing said.
The disclosure confirms plans first announced July 20 and revised August 28, when Samsung Biologics said it would fund the purchase through a ₩3.0tn rights offering rather than the borrowing it had originally proposed.
The ₩2,706.2bn purchase price equals about 3.9% of Samsung Biologics' ₩70.27tn market capitalization.
PolyPeptide, a peptide contract manufacturer, posted revenue of roughly ₩669.2bn and a net loss of ₩36.1bn in its most recent fiscal year, the filing's summary financials show. Settlement is expected November 13, 2026, pending regulatory approvals.
